Terms of Service

1. Overview

Async Dev is a monthly development subscription operated by Wojciech Nowak, registered in Poland. By subscribing, you agree to these terms.

2. The service

Async Dev provides senior software development work on a subscription basis. You submit requests asynchronously, and we deliver completed work. All communication is async — no calls required.

• Standard plan: $7,500/month
• Founding plan: $6,000/month (limited availability)

Each subscription includes one active request at a time, a backlog you can add to anytime, and direct access to a senior developer.

3. Billing and payment

• Subscriptions are billed monthly via Stripe (credit card).
• Your billing cycle starts on the day you subscribe and renews on the same date each month.
• Prices are in USD. Applicable taxes may apply depending on your location.

4. Cancellation and pausing

You can cancel or pause your subscription at any time — no questions asked.

• When you cancel, you retain access for the remainder of your current billing period.
• We do not offer refunds for partial months. If you cancel mid-cycle, service continues until the period ends.
• Pausing freezes your billing and unused days carry forward.

5. Intellectual property

You own everything. All code, designs, and deliverables created for you under your subscription are yours. We assign all intellectual property rights to you upon delivery.

We retain no rights to use, share, or resell your deliverables. We may reference the general nature of work (e.g., "built a SaaS dashboard") in our portfolio unless you request otherwise.

6. Confidentiality

We treat all client information, code, and project details as confidential. We will not share your proprietary information with third parties. If you require a formal NDA, we are happy to sign one.

7. What we expect from you

• Provide clear, written requests with enough context for us to do great work.
• Respond to questions or feedback within a reasonable timeframe.
• Do not use the service for illegal purposes or to build anything harmful.

8. Availability & response times

Async Dev is operated by a dedicated senior developer. Typical response time is within one business day. During planned time off (holidays, vacation), you will be notified in advance and work will resume promptly upon return.

In the event of illness or emergency, we will inform you as soon as reasonably possible and, if needed, pause your subscription with unused days carried forward.

9. Termination by Provider

The Provider may terminate a subscription with 30 days' written notice in cases of:

• Non-payment after 14 days past the billing date
• Violation of acceptable use terms
• Requests consistently outside the defined scope of service

In the event of Provider-initiated termination, a pro-rata refund will be issued for any unused portion of the current billing period.

10. Limitation of liability

Async Dev is provided "as is." While we strive for high-quality work, we cannot guarantee that deliverables will be error-free or meet every expectation.

Our total liability is limited to the amount you paid for the current billing period. We are not liable for indirect, incidental, or consequential damages.

11. Governing law

These terms are governed by the laws of the Republic of Poland. Any disputes will be resolved in the courts of Białystok, Poland.

12. Changes to these terms

We may update these terms from time to time. We will notify active subscribers of material changes via email. Continued use of the service after changes constitutes acceptance.
